Terms and Conditions

These Terms and Conditions ("Terms") are an agreement between you and Hello Proposals (ABN 26 607 818 682), trading as "Hello Proposals" ("Hello Proposals", "we", "us", or "our"). They govern your use of the Hello Proposals website, app, and related services (the "Service").

By creating an account or using the Service, you agree to these Terms. If you are using the Service for an organisation, you confirm that you may accept these Terms on its behalf. If you do not agree, please do not use the Service.


1. Definitions

  • "You" means the person or organisation using the Service.
  • "Account" means your Hello Proposals account.
  • "Content" means anything you add to the Service, such as proposals, text, images, pricing, brands, and templates.
  • "Client" means a person you share a proposal with.
  • "Client Data" means information your Clients provide through a proposal, such as a name, email, signature, or form response.
  • "Plan" means a paid subscription tier, such as Basic, Pro, or Teams.

2. Your account

You need an account to use most of the Service. We use passwordless sign-in, so you log in through a secure link or code sent to your email. You are responsible for keeping access to your email secure, and for everything that happens under your Account.

You must give accurate information, and you must be at least 16 years old to use the Service. You may not share your Account or let anyone use it who is not authorised by you.


3. Using the Service

We give you a limited, non-exclusive, non-transferable right to use the Service for your own business while these Terms are in force. We may add, change, or remove features over time to improve the Service.

You agree to use the Service only in line with these Terms and the law.


4. Acceptable use

You must not:

  • break any law, or help anyone else break the law;
  • send spam, or share content that is false, misleading, harmful, or illegal;
  • upload viruses or anything designed to harm the Service or other users;
  • try to access, copy, or disrupt parts of the Service you are not meant to;
  • reverse engineer, scrape, or copy the Service to build a competing product; or
  • resell or rent the Service without our written permission.

We may investigate and act on any suspected breach, including by removing content or suspending access.


5. Your content

You own your Content. We do not claim ownership of it.

To run the Service, you give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, display, and process your Content. We use this licence only to provide and support the Service, for example to show your proposal to a Client you share it with. This licence ends when you delete the Content or close your Account, except for backups we keep for a short time.

You are responsible for your Content. You confirm that you have the right to use it, and that it does not break the law or these Terms.


6. Client data and your responsibilities

When you collect information from your Clients through a proposal, such as form responses or signatures, you decide why and how that data is used. In data protection terms, you are the controller of that Client Data and we are your processor. You must:

  • have a lawful reason to collect and use the Client Data;
  • give your Clients any privacy information the law requires; and
  • handle the Client Data in line with all laws that apply to you.

We process Client Data only to provide the Service to you and on your instructions. For more detail, see our Privacy Policy.


7. Our intellectual property

We own the Service, including its software, design, branding, and the built-in templates and blocks. These Terms do not give you any ownership of them. You may use the built-in templates within your own proposals, but you may not copy, sell, or repackage the Service or its templates on their own.

"Hello Proposals" and our logo are our trademarks. You may not use them without our written permission.


8. Plans, billing, and payments

Some features need a paid Plan. When you subscribe:

  • You pay the fees for your chosen Plan in advance, either monthly or yearly.
  • Subscriptions renew automatically at the end of each billing period until you cancel.
  • Payments are processed by our payment provider, Stripe. We do not store your full card details.
  • Fees are shown in the currency and amounts displayed at checkout, and may not include taxes, which we add where required.
  • We may change our prices. If we do, we will give you notice, and the new price applies from your next billing period.

Some features have monthly usage limits, such as AI proposal generation. We show these limits in the app, and they reset at the start of each month.


9. Cancelling and refunds

You can cancel your Plan at any time from your account. Your Plan stays active until the end of the period you have already paid for, then it stops renewing.

Except where the law requires otherwise, fees already paid are non-refundable, and we do not give partial refunds for unused time. If you downgrade, your higher-Plan features stay until the end of the current period, then change to your new Plan.


10. Suspension and termination

You may stop using the Service and close your Account at any time.

We may suspend or end your access if you breach these Terms, fail to pay, or use the Service in a way that could harm us, other users, or third parties. Where it is reasonable to do so, we will give you notice first.

If your Account ends, your right to use the Service stops. You can ask us to export your Content within a reasonable time before deletion, and we will delete or anonymise your data in line with our Privacy Policy and the law.


11. Third-party services

The Service works with third-party tools, such as our payment provider, email delivery, AI processing, and any integrations or webhooks you set up. We are not responsible for those third-party services, and your use of them may be subject to their own terms.


12. AI features

The Service can generate proposal drafts and content using AI. AI output can be inaccurate or incomplete, so you must review and edit it before you rely on it or send it to a Client. You are responsible for the final content of every proposal you share.


13. Availability

We work hard to keep the Service available and reliable, but we do not promise it will always be uninterrupted or error-free. We may carry out maintenance, and we may need to suspend parts of the Service from time to time.


14. Warranties and disclaimers

We provide the Service "as is" and "as available". To the extent the law allows, we do not make promises about the Service beyond those set out in these Terms, and we exclude all other warranties.

Nothing in these Terms excludes rights or guarantees you have under the Australian Consumer Law or other laws that cannot be excluded. Where we are allowed to limit our liability for a failure to meet a consumer guarantee, our liability is limited to re-supplying the Service or paying the cost of having it re-supplied.


15. Limitation of liability

To the extent the law allows, we are not liable for any indirect, incidental, or consequential loss, or for lost profits, revenue, data, or goodwill.

Our total liability to you for any claim connected with the Service is limited to the amount you paid us for the Service in the 12 months before the claim arose. This section does not limit any rights you have under the Australian Consumer Law that cannot be excluded.


16. Indemnity

You agree to cover our reasonable losses, costs, and legal fees if they arise from your Content, your breach of these Terms, or your misuse of the Service, to the extent the law allows.


17. Privacy

We handle personal data as described in our Privacy Policy. By using the Service, you agree to that handling. Please read the Privacy Policy together with these Terms.


18. Changes to these Terms

We may update these Terms from time to time. If we make a significant change, we will give you notice, for example by email or a notice in the app. If you keep using the Service after the change takes effect, you accept the updated Terms. If you do not agree, you should stop using the Service and may cancel your Plan.


19. Governing law

These Terms are governed by the laws of Queensland, Australia. You and we agree to the non-exclusive jurisdiction of the courts of that place.
