These Terms of Service ("Terms") govern your access to and use of the Hello Proposals platform and services ("Service") operated by Hello Proposals ("we", "us", or "our"). Please read these Terms carefully before using the Service.
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
Hello Proposals is a cloud-based proposal-building platform that enables users to create, send, and track professional proposals and quotes. Features include a visual drag-and-drop builder, branded templates, engagement analytics, and e-signature collection.
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
To use the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised access or suspected breach of security.
You must be at least 18 years of age to create an account. By registering, you represent and warrant that you meet this requirement.
We may offer a free trial period for new accounts. At the end of the trial period, your account will require a paid subscription to continue using the Service. We reserve the right to change or discontinue free trial offers at any time.
Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. All prices are in Australian Dollars (AUD) unless otherwise stated and are inclusive of applicable GST where required by law.
Payments are processed by Stripe. By providing your payment information, you authorise us to charge your payment method on a recurring basis for the subscription fee. You agree to Stripe's terms of service in connection with payment processing.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of the period you have paid for. We do not provide refunds for unused portions of a billing period.
We reserve the right to change subscription pricing. We will provide at least 30 days' notice of any price changes via email. Your continued use of the Service after the price change takes effect constitutes acceptance of the new pricing.
You agree not to use the Service to:
We reserve the right to suspend or terminate your account if we reasonably believe you have violated these restrictions, without liability to you.
You retain ownership of all content you create or upload to the Service ("User Content"), including proposal text, images, brand assets, and templates. By using the Service, you grant us a limited, non-exclusive licence to store, process, and display your User Content solely as necessary to provide the Service to you.
You are solely responsible for your User Content. You represent and warrant that you have all necessary rights to the content you upload and that your User Content does not violate these Terms or any applicable law.
We do not use your User Content to train machine learning models, for advertising, or for any purpose other than operating the Service.
The Service, including its software, design, user interface, and all related content created by us, is owned by Hello Proposals and is protected by intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property other than the limited licence to use the Service as described herein.
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without compensation to you.
The Service may integrate with or contain links to third-party services (such as Stripe for payments). These third-party services are governed by their own terms and privacy policies, and we are not responsible for their content, practices, or policies.
Your use of third-party services is at your own risk. We encourage you to review the terms and privacy policies of any third-party services you use in connection with Hello Proposals.
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that any results obtained from use of the Service will be accurate or reliable.
To the fullest extent permitted by applicable law, Hello Proposals and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of the Service.
Our total liability to you for any claim arising from or related to these Terms or the Service shall not exceed the total amount you paid to us in the 12 months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law, including statutory guarantees that apply to the supply of services.
You agree to indemnify and hold harmless Hello Proposals and its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.
You may close your account at any time by following the instructions in your account settings. Upon closure, your right to use the Service will cease immediately at the end of your current billing period.
We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, if required by law, or if we decide to discontinue the Service.
Upon termination, you may request a copy of your data within 30 days. After that period, we reserve the right to delete your account data in accordance with our Privacy Policy.
These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Australia.
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
We reserve the right to update these Terms at any time. When we make material changes, we will notify you by email or via a prominent notice within the Service at least 14 days before the changes take effect.
Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the revised Terms, you should cancel your subscription before the effective date.
